Thank you for your interest in becoming a bidder on Diargento Auction Galleries ("DAG") and the website www.DiargentoAuctionGalleries.com, ("Site"), collectively. Please read this agreement in its entirety, as your use of this website and any associated auction website connected or working in association with DAG or the Site, constitutes your full acknowledgement and agreement to the terms and conditions outlined herein and enters you into a binding legal agreement with DAG. Through the implementation of the terms and conditions herein, DAG aims to maintain an auction site which offers the opportunity to purchase jewelry and other items in a safe and secure manner.

Estimates
All estimates provided by DAG are accurate and true estimates comparable to current market value. In all estimates provided by DAG, a GIA Graduate Gemologist has thoroughly observed the specific item and determined the gem grading, value and description to the best of his ability. Unless otherwise indicated, jewelry listed on DAG and the Site is appraised by Superior Gemological Laboratory and may be independently verified online through SuperiorGemLab.com.

Conditions of Sale
Prior to bidding online for DAG, you must read and accept the Terms and Conditions outlined herein, and register as a bidder. All items sold by DAG are sold "as-is", and are considered to be a final sale. DAG and its affiliates disclaim any and all warranties, whether express or implied, including but not limited to the implied warranty of merchantability or fitness for any particular purpose.
Any inquiries regarding a particular item may be made directly to DAG; however DAG's response to such inquiries solely constitutes DAG's opinion and/or general guidance for the consumer, and as such, does not constitute a warranty in any way regarding the item. By placing a bid, you acknowledge and agree that you have examined the particular item in its entirety, have reviewed any associated appraisals, generally understand the nature and content(s) of the item(s) you are bidding on, and/or have no unanswered questions regarding the merchandise.
Upon receiving all bids for a particular item, the highest bidder is deemed the successful bidder. The auctioneer has the sole discretion in determining the successful bidder. The successful bidder will be emailed an invoice from DAG within twenty-four (24) hours after the auction. If purchaser does not receive an invoice via email it is purchaser's responsibility to contact DAG via e-mail at info@diargentoauctiongalleries.com to ensure that purchaser is provided with an invoice to complete the purchase with DAG.

Payment
The successful bidder for an item may purchase the item either via PayPal or Bank Wire. Payments by PayPal are accepted for all purchases by local purchasers up to $10,000.00. For all non-local purchasers, the only method of payment accepted is via Bank Wire. DAG reserves the right to hold a particular item until DAG is in receipt of sufficient payment in its entirety.
The final sales price ("Final Price") for an item sold by DAG shall consist of the following:
• the successful bid price,
• the buyer's premium,
• costs of shipping and handling to the purchaser,
• shipping insurance,
• any artists' rights royalty, and
• sales taxes, if applicable.
• Successful bidders from California will be charged nine percent (9.0%) sales tax for each item purchased.
The Final Price is non-negotiable, but certain costs and/or fees may be reduced or waived at the sole discretion of DAG.




Premiums
A twenty-one percent (21%) buyer's premium will be added to the hammer price on each lot or item sold on the Site or through DAG. This amount is non-negotiable.

Reserves
Certain lots in sales by DAG are subject to a reserve. A "reserve" is the minimum price below which a lot will not be sold. This minimum price is set by DAG for items owned by DAG. In the case of items consigned to DAG, this minimum price is agreed to by the consignor and DAG. Although the reserve may be set below the estimated range, in no case will the reserve exceed the estimated range. Regardless of whether a lot is subject to a reserve, the auctioneer may nevertheless reject a bid if such bid is not commensurate with the value of a particular lot, in DAG's sole opinion.

Appraisals
We encourage all bidders and potential purchasers to educate themselves prior to bidding, both in general jewelry and in the item he or she is interested in. The bidder should take the time to read up on grading, quality, CTW of gems, color and clarity of diamonds, total gold or platinum gram weight and other relevant specifications regarding fine jewelry, ask the seller any and all questions, and only then make an informed decision to bid on an item or auction. Due to gemstones being hand cut, weights may vary slightly from posted weight.
To help potential purchasers and bidders with their educational process, all our auction items come with an appraisal. The appraisal includes a quoted replacement value. The replacement values quoted are for insurance purposes only and shall not be considered as the actual value of the item. Please remember that jewelry and/or gemstone evaluation, analysis and appraisals are extremely subjective, and therefore an estimate of the insurance replacement value may vary from one appraiser to another and such a variance does not necessarily constitute an error on the part of any appraiser. Diamonds, colored stones and all gemstones, large and small, are generally graded only as the item mounting permits observation by the appraiser. The weight of Diamonds and Colored Stones are estimated by formula and may not be completely accurate. Buyer assumes all risk in purchasing any item(s) auctioned by DAG.
All efforts are made to describe an item as accurately as possible, and in so doing, DAG utilizes the services of a third-party appraiser to provide unbiased replacement value estimates through appraisals provided by a GIA Graduate Gemologist.

Internet and Technical Difficulties
Due to the fact that the Site, the auctioneer, and related auctions are comprised of digital information passing through the internet, there are inherent internet and technical difficulties which may arise from time to time. If the subject auction item is not sold prior to the technical problem arising, the item will be offered for sale at a later point in time that DAG will determine and specify on its Site at www.DiargentoAuctionGalleries.com or on any other website DAG operates, usually one week in advance of the date the item may be re-offered for sale at auction.
All winning bids that were made before the technical difficulties arose shall remain valid and the winning bidder shall be subject to the terms and conditions set forth herein. By submitting a bid, the potential purchaser and bidder agree that he or she has read and agrees with the special terms and conditions.

Shipping and Handling
Upon DAG's receipt of purchaser's payment in full for an item or lot, the item will be shipped in approximately seven (7) business days of receipt of payment. Purchaser is responsible for the cost of shipping items, which will be included in the Final Price calculated by DAG and invoiced to the winning bidder (purchaser).
DAG's prices for shipping and handling are dependent upon the type and size of the item shipped:

• shipping and handling for gemstone gold jewelry is $65.00 via FedEx Priority with Signature confirmation and $125.00 via FedEx Priority Service for international shipments;
• smaller items cost $15.00 per item;
• large collectibles such as handbags or other such accessories cost $22.00 per item; and
• framed items cost $25.00 per small framed item, $45.00 per medium framed item, and $55.00 per large framed item.
All oversized items will be shipped for a flat rate of $75.00 per item.
DAG does not allow the purchaser to combine purchases for purposes of combined shipping. Each item will be subject to its cost of shipping and handling, depending on its size and type. Unless otherwise noted to the purchaser, all purchases shall be shipped individually to minimize any and all financial risk to both the purchaser and DAG. Returns and Exchanges
All sales are final. There are no cancellations, exchanges, and/or refunds. Under certain circumstances, DAG may allow a cancellation, exchange, and/or refund. If, for any reason, an exchange or refund must be issued for an item, DAG will charge the purchaser a twenty percent (20%) restocking fee for each item returned and/or exchanged, and purchaser shall be responsible for paying any and all shipping fees involved in the return or exchange of such item. Additionally, DAG may, at its sole discretion, demand, (or deduct from a refund if the item is already paid for,) the Buyer's Premium amount to recoup costs associated with auctioning the subject item.

Indemnification
You agree to indemnify, defend and hold harmless Diargento Auction Galleries and its agents, affiliates, employees, successors, directors, officers, and/or assigns, from and against any and all claims, demands, losses, damages, liabilities, costs and expenses - including attorney fees - arising out of or relating to any claim or action based upon your use of the DAG web site or your breach of the terms and conditions outlined herein.
The agents, affiliates, employees, successors, directors, officers, and/or assigns of DAG are not authorized to make, on DAG's behalf, any representations or warranties, whether oral or written with respect to any items. Any information and/or opinions supplied by DAG or any of its agents, affiliates, employees, successors, directors, officers, and/or assigns, in any form whatsoever, is intended solely as general opinion and/or guidance.
Each bidder is encouraged to inspect, evaluate, and investigate the item or items prior to bidding prior to forfeiting the rights mentioned above.

Disputes and/or Controversies
DAG strives to carry out smooth and incident-free auctions. Due to circumstances beyond control, certain disputes or controversies may arise. In such a case, any controversy or claim arising out of or relating to the Terms and Conditions, or the breach thereof, by and between DAG and bidder or purchaser, their successors, assigns, officers, shareholders and directors, shall be settled by final and binding arbitration administered by the American Arbitration Association ("AAA"), under its Commercial Arbitration Rules, in effect as of the time of filing the arbitration, with a single arbitrator. In the case of arbitration, the AAA arbitrator selected shall be experienced in the field of business law and litigation. The arbitration shall take place within the county limits of Los Angeles, California, regardless of where the purchaser resides or conducted the subject transaction, if any. The applicable law, whether during arbitration or in any litigation arising by and between DAG and a bidder/purchaser and/or resulting from the use of the Site shall be that of California State law, without reference to the law of any other jurisdiction for any perceived conflict of law. The arbitrator shall have discretion to award legal fees and costs to the prevailing party. In the case of an award, judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
